carVertical Affiliate Program Terms of Service
Thank you for considering signing up for the carVertical Affiliate program. Please take your time to carefully read this Agreement before proceeding with the registration as an Affiliate Partner. By completing your registration, you indicate the acceptance of this Agreement and all of its terms and conditions.
1. Overview
These Affiliate Terms of Service, together with any additional documents signed between the Affiliate and carVertical (if any), contain the complete list of terms and conditions that will apply to the applicant (“Publisher”, “Partner”, “Affiliate”) as soon as he becomes an Affiliate in carVertical Affiliate Program (the “Affiliate Program”). The purpose of the Affiliate Program is to allow Affiliates to earn Affiliate commissions from sales generated from their websites.
Affiliate indicates his acceptance to this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the carVertical Affiliate Program application/signup process.
2. Joining the Affiliate Program
2.1. The Affiliate’s participation in the program is solely for the purpose of legal carVertical product advertising and receiving a commission on sales generated by the referee (client).
2.2. Affiliate accounts with inaccurate, unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable information, or that involve the misuse of personal data (e.g., using another person’s data without consent) may not participate in the Affiliate program. carVertical reserves the right to decline any application that does not meet the criteria.
2.3. Persons who have any current or past employment relations with carVertical are not allowed to join the Affiliate program.
2.4. The Affiliate must promptly and fully disclose to carVertical any current or past partnerships, collaborations, reselling activities, projects, or any other form of cooperation or commercial relationship with carVertical. Such disclosure must be made at the time of registering for this Affiliate Program and immediately upon becoming aware of any relevant information not previously communicated.
2.5. Affiliates can only create and use 1 account. Multiple domains can be listed within one account, but only one account is allowed.
2.6. As a member of the Affiliate Program, Affiliate will be granted access to Affiliate Program details, including carVertical promotional materials, such as affiliate links to web pages within the carvertical.com website and banner creatives. In order for us to accurately keep track of all guest visits from Affiliate source to carVertical, Affiliate must use the Affiliate link that carVertical provides for each banner, text link, or HTML code.
3. Affiliate Account Suspension
3.1. carVertical reserves the right to suspend Affiliate’s account anytime immediately in case of violations of Affiliate Program Terms of Service.
3.2. Affiliate accounts referring to any fraudulent orders will be suspended.
3.3. Affiliate accounts that are left inactive and have no commissions approved may be removed from the system by carVertical with a 1 months’ notice. An inactive affiliate account is defined as any account that has no transactions posted for a period of 6 months, nor replies to the carVertical’s inquiries for a period of 1 month. If one of these conditions do not apply - the account will remain in an active state.
3.4. carVertical reserves the right to terminate Affiliate’s participation in the carVertical Affiliate Program immediately and without prior notice if Affiliate commits fraud in his use of the carVertical Affiliate Program. If such fraud is detected, carVertical shall not be liable to the Affiliate for any commissions for any fraudulent sales. Fraud is defined as any deceptive or abusive action by the Affiliate to generate illegitimate commissions, including but not limited to click fraud (artificial clicks without real user intent), commission laundering (purchases via stolen payment methods), Ad Hijacking (intercepting or mimicking brand ads to divert commissions) and other.
3.5. Any pending commissions owed to the Affiliate will not be paid if the Affiliate account is terminated due to fraud.
3.6. carVertical reserves the right to terminate the Affiliate’s participation in the carVertical Affiliate Program at any time without reason with a 14 days’ notice. In such a case, carVertical shall pay out all sums accrued by the Affiliate up to the point of termination.
4. Linking and Advertising
4.1 Affiliates may use the links and graphics provided by carVertical only and as described under the Brand Asset Usage guidelines that will be shared with the Affiliate after registration.
4.2. If carVertical determines that the Affiliate’s linking and advertising efforts can be identified as spam, or involve unsolicited messages, it reserves the right to suspend the account immediately.
4.3. Offering rebates, coupons, or other forms of promised kickbacks from your Affiliate commission is an incentive and is not allowed. Adding bonuses or bundling other products with carVertical, however, is acceptable, if permission is received from the carVertical Affiliate Program manager.
4.4. Affiliates are not allowed to use cookie stuffing techniques (setting cookies without the user clicking on the Affiliate link).
4.5. Affiliates may not use redirected pages and links to send a referee to the carVertical ’s website;
4.6. Affiliates are prohibited from generating browser extensions, pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating specific savings by clicking on a clearly marked link, button or image for that particular coupon or deal. Additionally using tracking methods (e.g., cookies, pixels) that collect personal information without proper disclosure or consent is prohibited. Affiliate’s link must send the visitor to the carVertical website.
4.7. Domain forwarding is strictly prohibited – the domain cannot be used to forward the User directly to the carVertical’s website through the affiliate link.
4.8. Affiliates are prohibited from initiating any software downloads that potentially enable diversions of commission from other Affiliates in the carVertical ’s program.
4.9. User must be able to see coupon / deal / savings information and details before an affiliate cookie is set (i.e. “click here to see coupons and open a window to the carVertical website” is NOT allowed) and the Affiliate’s sites may not offer a deal or coupon when there are no coupons or deals available.
4.10. Any carVertical employee reserves the right, at any time, to review the Affiliate’s placement and either approve or disapprove the use of affiliate links and require changing the placement of links or ask to comply with the guidelines provided in Terms of Service or specific email with details.
4.11. Self-referring for affiliate accounts is strictly prohibited. This means that the Affiliate cannot refer himself by using his own affiliate link, and such activity will not receive a commission.
4.12. It is the Affiliate’s responsibility to ensure that his tracking code is working properly before sending the referees to the carVertical’s website. carVertical is not responsible for any modification made to Affiliate links. Affiliate commissions are not paid for unrecorded sales due to incorrectly edited, masked, redirected or tampered Affiliate links.
4.13. Default cookie tracking is set for 90 days. carVertical does not guarantee the 90-day cookie validity period and does not take the responsibility for cleared users’ cookies or changed browser / device during the purchase by the end-user (client).
5. Promotional Content
5.1. Affiliates are prohibited from using an identical or virtually identical (variations or misspellings thereof in Affiliate’s domain name) carVertical trademark as a part of their domain, second-level domain and / or subdomain.
5.2. Affiliates are prohibited from using any content on their website (social account, public post or any other online or offline location) that could deceive referrals to believe the website (social account, public post or any other online or offline location) is directly related to the carVertical. Additionally, Affiliates may not advertise in any way that effectively hides or misrepresents their own identity, domain name and / or return email address.
5.3. Affiliates are not allowed to replicate or reproduce the look, feel and structure of the carVertical ’s website.
5.4. Affiliates are allowed to use trademark creatives provided by carVertical only. Custom materials might be created and used by Affiliates only if approved by carVertical.
5.5. Affiliates are prohibited from using any content that could fall into the following categories: adult content, gambling, sensitive social issues, unauthorized use of personal data (e.g., names, photos, contact details), discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or any other kind of discrimination, tragedy & conflict, violence, or is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to society or violates the law in any way.
5.6. Affiliate must clearly and conspicuously disclose their affiliation with carVertical and the fact that they receive compensation for promoting carVertical’s products or services. Such disclosure must be made in all forms of content and on all platforms where Affiliate shares promotional material, regardless of whether the content appears in public or private channels. Disclosures must not be obscured or hidden, and visual materials must likewise be clearly marked as promotional.
5.7. CarVertical may inform Affiliate of any changes to Affiliate’s site that should be made, or to ensure that Affiliate’s links to carVertical website are located appropriately and to notify Affiliate of any other changes that should be made. carVertical also reserves the right to terminate Affiliate’s participation in the carVertical Affiliate program if the necessary changes to the website are not implemented within a reasonable time (30 days).
5.8. Affiliates are solely responsible for the maintenance and information updates on their site. For example, if the carVertical pricing policy changes, it will be up to Affiliate to keep up and update the information on their site. carVertical may monitor Affiliates’ sites to make sure that it is up-to-date and to notify Affiliate of any changes that should enhance the performance.
5.9. Affiliates are responsible for ensuring that any landing pages or third-party tools used in their websites and/ or social media accounts comply with data protection regulations, including GDPR or other relevant laws.
5.10. Affiliates are strictly prohibited from creating, publishing, or distributing any promotional content for carVertical that is generated by artificial intelligence in a manner that is misleading, deceptive, or likely to cause confusion to the public. This includes, but is not limited to a) AI-generated “deepfake” videos or altered media that impersonate individuals without their consent; b) AI-generated voiceovers or synthetic audio that misrepresent carVertical employees, representatives, or third parties; and c) any AI-created content that makes false claims, manipulates factual information, or otherwise misrepresents carVertical’s products, services, or brand.
5.11. Affiliates must present carVertical’s products and services in an accurate and truthful manner at all times. All statements, descriptions, and claims about the products or services must be factually correct, verifiable, and not misleading. Affiliates may not include content that capture personal data through deceptive means, such as fake links, forms or impersonation. Affiliates may not exaggerate features, overstate benefits, or make promises about performance or results that cannot be substantiated.
5.12. Affiliates acknowledge and agree that any comparative advertising materials, statements, claims, or content created, generated, or published by the Affiliate are made solely at the Affiliate’s own initiative and risk. carVertical shall not be deemed to have endorsed, approved, supervised, or contributed to any such comparative advertising content in any manner. The Affiliate assumes full and exclusive responsibility for ensuring that all comparative advertising complies with applicable laws, regulations, industry standards, and fairness requirements, including those governing truthful representation and non-misleading commercial practices. carVertical shall not bear any liability for any consequences, complaints, disputes, legal claims, regulatory actions, reputational harm, or damages arising from or related to the Affiliate’s comparative advertising activities. The Affiliate shall indemnify and hold carVertical harmless from all losses, costs, or liabilities resulting from the Affiliate’s creation of such content.
5.13. During the term of this Agreement and at all times following its termination, the Affiliate agrees that they will not, directly or indirectly, make, publish, or communicate to any person or entity or in any public forum any defamatory, disparaging, or negative remarks, comments, or statements concerning carVertical, its products, services, employees, or business practices. This includes, but is not limited to, comments made on social media, review platforms, or personal blogs that could reasonably be expected to harm the reputation or goodwill of carVertical. Any breach of this section shall be considered a material breach of the Agreement, justifying immediate termination without notice and the permanent withholding of any pending commissions.
6. Search Engine Marketing Campaigns
6.1. Search Engine Marketing campaigns or any other Paid advertising campaigns that lead to carVertical product-related content may only be conducted with the permission of carVertical Affiliate Program manager.
6.2. Affiliates are prohibited from using Pay Per Click (PPC) or Pay Per Impression (PPI) campaigns as an advertising method and bidding on keywords or phrases containing the "carVertical" trademark, or any variations or misspellings of the trademarked term, in Pay Per Click or Pay Per Impression campaigns on any search engine or digital advertising platform (including but not limited to Google, Yahoo, Bing, and others) without obtaining written approval from carVertical. Affiliates are not permitted to use any carVertical URL as the display URL in paid media ads, nor are they allowed to direct-link or redirect users from their ads to carVertical websites without prior approval.
7. Email Marketing campaigns
7.1. Before launching e-mail marketing campaigns, the Affiliate must get approval from the carVertical Affiliate Program manager.
7.2. Before launching e-mail marketing campaigns, the Affiliate must inquire about the suppression list. Once it is sent by carVertical, the Affiliate must upload it to his email platform to make sure no address that is in the suppression list is being contacted.
7.3. E-mail campaigns cannot be used to deceive recipients to believe the sender is carVertical.
7.4. All recipients of email campaigns must be included lawfully (e.g., based on valid consent). The use of purchased, rented, or harvested email lists is prohibited.
8. Affiliate Commissions
8.1 Affiliate commissions are approved during the first 15 days of the new month for the previous month. Commissions are approved for completed orders (purchases on the carVertical website) only, including returned and refunded orders. All incomplete or fraudulent orders will not be commissioned.
8.2 Missing or untracked orders must be reported by Affiliate before the 10th of the new month for the previous month. Each case is reviewed individually and the carVertical reserves the right to make the final decision whereas the sale in question should be credited to the Affiliate.
8.3. Commission payments shall be made only when the total amount due to the Service carVertical reaches a minimum of fifty Euros (EUR 50). If the minimum threshold is not reached in a given month, the outstanding commission balance shall carry over to the following month(s) until the threshold is met.
8.4. Commissions are paid once a month.
8.5. It is the Affiliate’s responsibility to make sure the Bank account details are correct. carVertical has the right not to pay the commissions if the Bank account details are missing or incorrect.
8.6. Wire transfer taxes are paid equally by carVertical and Affiliate. All transfer fees and any costs arising from currency conversion from EUR (if any) shall be borne solely by the Affiliate.
8.7. carVertical reserves the right to delay or withhold payment of Affiliate commissions if there is a reasonable belief that the Affiliate has violated this Agreement, engaged in fraudulent activity, generated invalid traffic, or otherwise acted in a manner that may result in chargebacks, refunds, or legal liability for carVertical. Payments may also be delayed pending the completion of an investigation into suspicious or potentially non-compliant activity. In such cases, carVertical will make reasonable efforts to notify the Affiliate of the reason for the delay or withholding. If the investigation confirms that the Affiliate has acted in violation of this Agreement, carVertical may permanently withhold any unpaid commissions related to the prohibited activity. If the investigation clears the Affiliate, withheld commissions will be paid in the next regular payment cycle.
8.8. carVertical reserves the right, upon reasonable notice, to audit the Affiliate’s activities, records, and marketing materials to verify compliance with this Agreement. Such audits may include, but are not limited to, reviewing traffic sources, advertising placements, promotional content, tracking methods, and financial records related to Affiliate activities under this Agreement. The Affiliate agrees to provide full cooperation and access to all relevant information, systems, and documentation requested by carVertical for the purpose of the audit.
9. Affiliate Account Termination
9.1. Affiliate has the right to cancel his Affiliate account at any time by giving the carVertical a written notice.
9.2. Upon termination of this Agreement for any reason, the Affiliate must immediately cease all use of carVertical’s trademarks, trade names, logos, copyrighted materials, and any other brand assets in their possession or control. All promotional content, advertisements, affiliate links, and any other materials referencing carVertical must be removed from all websites, social media accounts, advertising platforms, and any other medium within seven (7) calendar days of termination.
10. Personal data protection
10.1. Information about the processing of the Affiliate’s personal data is available in the Affiliate Program Privacy Policy. By confirming that the Affiliate has read these Rules, the Affiliate also confirms that they have familiarised themselves with the Affiliate Program Privacy Policy.
10.2. For Business Affiliates and Legal Entities - If you are using our services as a legal entity or for commercial purposes (hereinafter referred to as the "Commercial User"), the following additional terms apply: carVertical and the Commercial User act as independent data controllers. Each party acknowledges its responsibility for complying with the General Data Protection Regulation (GDPR) and other applicable data protection laws concerning its respective processing activities.
11. Liability
11.1. The Affiliate agrees and undertakes to defend, indemnify and protect carVertical, companies related to carVertical, service providers and carVertical representatives, managers, authorised officials, employees or consultants against any and all losses, damages, claims and/or expenses incurred: a) as a result of the breach of this Agreement by the Affiliate and b) any breach by the Affiliate of the requirements of the laws applicable to the Affiliate.
11.2. To the extent permitted by applicable law, carVertical shall not be liable for any loss or damage to the Affiliate, unless the loss or damage results in:
11.2.1. the Affiliate’s loss of life, injury to health or non-pecuniary damage,
11.2.2. is caused by the wilful misconduct or gross negligence of carVertical.
11.3. To the maximum extent permitted by applicable law, carVertical’s total aggregate liability to the Affiliate for any and all claims, losses, or damages arising out of or relating to this Agreement, whether in contract, tort, or otherwise, shall not exceed the total amount of commissions actually paid to the Affiliate by carVertical in the six (6) months preceding the event giving rise to the claim. In no event shall carVertical be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including, without limitation, loss of profits, loss of business, or loss of data, even if carVertical has been advised of the possibility of such damages.
11.4. The Affiliate acknowledges and agrees that its total aggregate liability towards carVertical under this Agreement shall be unlimited. This unlimited liability applies to any and all forms of damage or loss incurred by carVertical, including but not limited to direct, indirect, incidental, consequential, punitive, or special damages. The Affiliate shall be fully responsible for compensating carVertical for every type of harm arising out of or relating to the Affiliate’s actions, omissions, negligence, contractual breaches, wrongful conduct, or any other circumstances attributable to the Affiliate.
11.5. The Affiliate agrees to comply with all applicable laws, regulations, and industry standards in the jurisdictions where they operate and where their marketing materials are published or distributed. This includes, but is not limited to, laws governing advertising, consumer protection, data protection, electronic communications, intellectual property, taxation, and e-commerce. The Affiliate is solely responsible for ensuring that their activities under this Agreement are lawful in all applicable jurisdictions. carVertical reserves the right to request proof of such compliance at any time.
12. Intellectual property rights
12.1. The material on the Carvertical.com website as well as any material provided to the Affiliate - the code, design, Carvertical.com domain name, all copyrights, trademarks, databases, trade names, titles and other intellectual property or other property related to Carvertical.com and/or the material contained therein—is all the property of Carvertical or Carvertical uses it on legitimate grounds, except for the intellectual property objects (trademarks, logos, etc.) related to Carvertical partners or suppliers, and is protected by national and international laws and regulations for the protection of intellectual property.
12.2. The Affiliate has no right to copy, record, in any way or reproduce, present, publish, transfer, sell, modify, submit, licence, change, re-publish, edit, broadcast, rebroadcast or otherwise make available, display in public or demonstrate, adapt, distribute or use Carvertical.com material or its source code, or any part thereof, as well as any derivative works, without the express permission of carVertical. For the avoidance of doubt, the Affiliate is permitted to use the carVertical trademark and other intellectual property solely in accordance with the Brand Asset usage guidelines provided by carVertical and only for the purposes of providing the services under this Agreement.
13. Applicable Law and dispute resolution
13.1. All Carvertical.com activities will be carried out in accordance with the laws of the Republic of Lithuania, which are also applicable to this Agreement. Any disputes arising out of Carvertical.com activities, Services or related to them, will be settled by negotiation, and if no agreement is then reached, by a competent court in accordance with the provisions of the applicable law.
13.2. Disputes between carVertical and Affiliates will be settled in court in accordance with the carVertical domicile.
14. Miscellaneous
14.1. Parties agree that the Affiliate is an independent contractor, and as such, nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the Affiliate and carVertical. Affiliate will have no authority to make or accept any offers or representations on carVertical behalf. Affiliate will not make any statement, whether on his website or any other website or otherwise, that reasonably would contradict anything in this Section.
14.2. The headings and titles that are contained in Affiliate Terms of Service are included for convenience only and shall not limit or otherwise affect the terms of this Agreement.
14.3. The Agreement is an electronic contract that sets out the legally binding terms of Affiliate’s participation in the carVertical Affiliate program. Affiliate indicates his acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the carVertical Affiliate Program application/signup process.
14.4. carVertical reserves the right to modify any of the terms and conditions contained in this Agreement at any time and at its sole discretion. Notice of any changes will be provided to the Affiliate via email or by posting a change notice or a revised agreement on the carVertical website. Modifications may include, but are not limited to, changes in the scope of available commission fees, payment schedules, and Affiliate Program rules. If any modification is unacceptable to the Affiliate, the only recourse is to terminate this Agreement. The Affiliate’s continued participation in the Affiliate Program following the posting of a change notice or new agreement will constitute binding acceptance of the changes.
